STANDARD TERMS AND CONDITIONS OF SALE
- Acceptance of Terms
- All sales by Point 2 Point Communications are expressly conditioned on your acceptance of these Standard Terms and Conditions of Sale. Any other terms proposed by the client, whether in purchase orders or otherwise, are expressly rejected unless specifically agreed to in a written instrument signed by Point 2 Point Communications.
- Orders and Payment Terms
- Invoices are due and payable within 21 business days of the invoice date, unless otherwise stated in the invoice or agreed in writing. Late payments will accrue interest at the rate of 10% per annum (or the maximum rate permitted by applicable law, if lower) on the outstanding balance from the due date until paid in full. Point 2 Point Communications reserves the right to suspend fulfillment or delivery of any current or future orders if payment is overdue.
- Debt Collection
- If payment remains outstanding more than sixty (60) days after the due date, Point 2 Point Communications may assign the debt to a collection agency and/or pursue legal remedies. All costs of collection, including reasonable attorneys’ fees and court costs, shall be borne by the client.
- Taxes and Withholding
- All prices and invoices are exclusive of taxes, customs duties, and other government-imposed fees. The client is responsible for payment of all applicable federal, state, and local taxes. If any withholding or deduction is required under U.S. or foreign law, the client must pay additional amounts as needed to ensure Point 2 Point Communications receives the full invoice amount.
- Delivery and Risk of Loss
- Point 2 Point Communications will use commercially reasonable efforts to deliver products and services in accordance with agreed schedules. Shipping and handling costs, if any, will be specified at the time of order. Title and risk of loss for products pass to the client upon delivery to the carrier.
- Claims and Returns
- All claims for shortages, defects, or non-conforming products must be made in writing within 8 days of receipt of goods or completion of services. Claims must be submitted by certified mail or another verifiable method to the registered office of Point 2 Point Communications. Failure to notify within this period constitutes acceptance of the goods or services as delivered.
- Warranty and Limitation of Liability
- Point 2 Point Communications warrants that its products will conform to published specifications at the time of shipment. Except as expressly stated, all products and services are provided “AS IS” and Point 2 Point Communications disclaims all other warranties, express or implied, including merchantability and fitness for a particular purpose. Under no circumstances shall Point 2 Point Communications be liable for indirect, consequential, or punitive damages, or for any amount exceeding the price paid for the specific goods or services at issue.
- Indemnification
- Under no circumstances shall Point 2 Point Communications be required to participate as a third party in any dispute or claim made against the client by an end user or third party.
- Force Majeure
- Point 2 Point Communications is not liable for any delay or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, or supply chain interruptions.
